The law has many functions in modern society. Some of the major ones are determining standards, sustaining order, settling disputes and protecting rights. This course contains two modules. The first introduces you to the legal system, business and corporation law and related matters. You will explore the common law and statutory principles of the commercial environment and corporate governance. Other topics include the application of law to business enterprise and contract law. Contract law is concerned with the rules that govern agreements. Business requires that agreements be honoured by the performance of the promises made to ensure that expectations are fulfilled. In addition, you will learn about the difference between insolvency and bankruptcy. There are several business structures to choose from when starting or expanding a business. We will spend time analysing these to enable you to select the one most suitable for your vision.
The second module examines essential elements of corporation law, including the concept of a separate legal entity, company formation and operation and corporate governance. Topics include but are not limited to companies and trusts (Private and Listed), joint ventures, licensing and agency, non-profit organisations (NGOs), corporate governance and business ethics and compliance. Once you form a company, it becomes a separate legal entity. Those who create the company are known as its ‘promoters’. If they do not carry out their tasks under the common law and statute, they will be liable to the company for breach of their fiduciary duties - hence the need to be well grounded in the common law and statute. Membership of the company does not occur until you enter the allottee’s name into the register of members. Discover the means of becoming a member of a company, shareholders’ rights and the duties, appointment and disqualification of a director in a corporation
In the corporate world, sometimes there is a need for company owners to come together to create synergies, which leads you to the concepts of merger and acquisition. Research the difference between friendly takeovers and the takeover prohibitions and exempt acquisition. Following that, investigate the management and regulation of the information systems established by a company to accomplish its objectives. This course will benefit you if you desire to launch your own company, especially in Australia. By enrolling, you will understand how companies come into existence and the relevant laws applicable to business enterprises. This course will set you on the right path, and you will never have to worry about legal problems. Click on the start button and register today!
